Our hotels, retail and leisure team provide restaurants, pubs, bars, hotels and retailers with full legal support in connection with starting-up, trading, raising finance and any disputes arising in the course of your business.

We advise in relation to your acquisition, occupation and use of property, including on the terms of new leases, fit-out works, planning permission and alcohol licensing. We also provide pragmatic and commercial advice on employment matters and incentives, dispute resolution and on negotiating and documenting your commercial relationships with your suppliers and other business partners.

In addition, we advise shareholders on ownership and structuring related issues, such as joint ventures, shareholder agreements, franchising arrangements, articles of association, share sales and purchases and equity fundraising.

In each case, we build a detailed picture of your requirements, including as to material terms, cost, risk and timeframes, in order to deliver tailored solutions that achieve your objectives.

Our expertise covers all aspects of acquiring, fitting-out, occupying and disposing of your premises, including rent reviews, break options, regearing leases, leasehold extensions, enfranchisement, sale and leaseback, licence for alterations, security of tenure and permitted use related matters.
We assist with the application of different types of licences needed for the running of your business, including a premises licence (if selling alcohol or providing any other licensable activities), personal licence, food business operators licence and food premises licence (if you handle meat, fish, egg or dairy). If necessary, we also assist with planning applications, if necessary to change the permitted use class of a unit following acquisition.
We advise on, draft and negotiate a wide range of commercial contracts, including contracts for the sale of goods, services agreements and hire agreements. In each case, we map out your objectives to ensure these are fully documented and protected. We also help you to review and negotiate any standard terms and conditions presented to you when purchasing goods or services from your suppliers.
We provide reliable advice and support if you are looking to raise finance to support the development of your business through either debt or equity funding. We advise you fully on the terms proposed by your prospective investor to help you ensure you do not inadvertently give away more rights, interest or power, or make yourself subject to any tighter restrictions, than you are expecting as part of the arrangement.
We help you with the structuring of your business, whether at the start-up phase when setting up with your co-founders, or as circumstances evolve and other partners become involved. We explain the different options available to you in straightforward language, typically involving use of a shareholders’ agreement and/or adoption of new articles of association, to regulate the relationship amongst the shareholders and their respective rights, obligations and protections in relation to the company.
Employment issues often require prompt advice and we respond accordingly, providing you with pragmatic advice on your possible options and the best action to take. We provide a full employment law service, including preparation of employment contracts and staff handbooks, and advising in relation to disciplinary, grievance and other internal procedures, dismissal, redundancy and putting settlement agreements into place.
