We advise buyers and sellers of companies on the entire sale and purchase process, from heads of terms and due diligence through to negotiating and executing the transaction itself, as well as any related regulatory matters. We provide reliable advice for investors and companies receiving investment on structuring and documenting the terms of investment. In either case, we help you with all the relevant steps, whether involving any alteration of share capital, adoption of new articles of association, the preparation of an investment, subscription and/or shareholders agreement, EIS or SEIS requirements, or anything else.
We assist with the drafting, amendment and replacement of a full suite of constitutional documents, including partnership agreements, LLP agreements, articles of association, club rules, shareholder agreements and joint venture agreements. We also advise if you need advice about any party’s rights, duties or obligations under any document or about the interpretation of any of its provisions.
We offer a dedicated company secretarial service to help you meet your statutory obligations to keep and maintain the company registers and records required by the Companies Act 2006, as well as with routine and other necessary Companies House filings. Additionally, we assist with company formations in the UK and abroad, and provide registered office address and corporate trustee services.
We advise on applications, investigations and other matters with bodies including the FCA, HMRC, the ICO, the Charity Commission, and regulated stock exchanges, particularly the London Stock Exchange. We work with you to establish, maintain and apply robust corporate governance procedures to satisfy all reporting, compliance and other obligations to which your business is subject.
We assist with the adoption and implementation of employee share option schemes, whether tax advantageous, as a share incentive plan (SIP), save as you earn (SAYE) scheme, company share option plan (CSOP) or enterprise management incentives (EMI) options, or non-tax advantaged. If setting up a tax advantageous scheme, you can rely on our experience to support you in your dealings with HMRC for advance assurance and otherwise.
We provide full legal support with IPO’s or if you are looking to list debt securities on a market of the London Stock Exchange or on selected overseas markets. We have particular experience in dealings with the Gibraltar Stock Exchange. We also assist with drafting announcements and advise in relation to shareholder relations and general corporate governance matters.
We act for creditors and debtors in both individual and corporate insolvency proceedings, including the preparation and presentation of bankruptcy and winding up petitions and the ensuing proceedings. We have strong contacts with insolvency practitioners who we work with to advise on the appropriate strategy to adopt when pursuing or defending insolvency proceedings.
